During the Company’s operating history, the Company has developed a broad set of capabilities and has completed work for almost 300 customers.
The Company is prequalified for governmental and public-sector work, enabling participation in municipal, transportation, and infrastructure procurements across Ontario. In the private sector, growth is largely relationship-based, with repeat clients and referrals reflecting consistent execution and long-standing relationships.
The business operates from its office headquarters and laboratory facilities in Ontario and maintains a branch office. The facility is leased from an unrelated party under a lease arrangement that expires in 2029 and provides for a further 5-year renewal option. The Company maintains CCIL-certified construction materials testing laboratories equipped to perform asphalt, concrete, aggregate, and binder testing in accordance with provincial and municipal standards.

Name and Reputation: Although the current business was founded several years ago, the Company benefits from the long-standing professional reputations of its principals, who collectively bring decades of engineering, materials testing, and infrastructure experience to the business. The management team’s prior work across Ontario’s infrastructure and development markets supported early credibility and market acceptance for the Company.
Outstanding Growth Opportunities: Several opportunities exist to significantly increase revenue and profit. These opportunities are easily attainable given the highly trained and Certified Team which is supported by engineers, technologists, and field technicians with credentials that enable the Company to perform regulated engineering, testing, and inspection services across public and private projects.
Highly Trained Team: The Company employs licensed Professional Engineers (P.Eng.) and Professional Geoscientists (P.Geo.), while also operating CCIL-certified laboratories for hot-mix asphalt to meet stringent municipal and MTO requirements. The Company also participates in MTO correlation and proficiency testing programs, reinforcing the reliability and acceptance of laboratory results. The Company’s familiarity with public specifications, documentation, and quality standards allow it access to stable demand from ongoing public infrastructure investment.
Strong Customer Relationships: Approximately 70% of revenue is generated by work with clients whom the Company has previously engaged. These relationships span municipalities, developers, contractors, and consultants and are reinforced by the Company’s multi-disciplinary abilities.
Market Recognition Through Achievements and Institutional Validation: The Company’s recognition within the market is reflected through operational achievements and institutional validation, including its designation as an official vendor for many municipalities and the successful execution of over 1,000 engineering and materials testing projects since inception.
Management Will Remain Through Transition: The principals would like to remain actively involved with the Company following a transaction, providing leadership continuity and operational stability during and after a transition of ownership. The management team, which collectively brings decades of engineering, materials testing, and infrastructure experience, views this process as an opportunity to partner with a buyer or investor who can support the Company’s next phase of growth. In addition, the Company expects its core professional and 8 technical staff to remain with the business, preserving institutional knowledge and client relationships. This continuity is expected to facilitate a smooth transition while maintaining service quality and client confidence.
